BUSINESS ENTITY FORMATION
At Hopp Neumann Humke we recognize that every business is unique. We work with clients to evaluate which corporate structure best suits their needs and have helped hundreds of business owners start LLCs, LLPs, S-Corps, and others. We draft articles of incorporation, bylaws, operating agreements, shareholder agreements, and other documents depending on the clients’ specific business needs. In addition, we educate our clients on the corporate formalities required for their business enterprise to increase the likelihood of continued success.
MERGER AND ACQUISITION SERVICES
Buying or selling a business is a significant endeavor for any company or individual. Proper situational analysis and structuring are the keys to a successful transaction. We guide our clients through the intricacies of their transaction, providing needed tax, employment, real estate and other legal services that are part of a complex business transaction.
EMPLOYMENT LAW
We represent employers in the ever growing complexity of managing employee relationships. Our lawyers provide advice and representation in litigation regarding hiring and termination matters, discrimination and harassment charges, FMLA and ADA claims, union issues, unemployment compensation matters, and employment contracts. We strongly believe in a proactive approach to help them avoid employment problems. Two key tools are employee handbooks and training. We work closely with employers to develop a good, usable employee handbook and provide effective training to help employers ensure their employees understand the rules.
IMMIGRATION LAW
In an increasingly globalized society, we recognize that our business clients sometimes hire foreign workers. We counsel businesses on temporary work authorization for foreign employees, including B-1 Business Visitors, H-1B Professionals, L-1 Intracompany Transfers, H-2B Temporary Workers, and TN/NAFTA for Canadians and Mexicans, among others. We also evaluate permanent employment-based immigration options.
We also help our clients avoid potentially costly fines for Form I-9 mistakes by working with them to develop policies and procedures for dealing with Form I-9 completion and internal audits.
LITIGATION
We are experienced in broad aspects of business litigation including contract disputes, employment issues, collections, business dissolution and shareholder oppression actions. We bring skill and common sense to our business clients’ issues with the goal of resolving these problems through negotiation, if possible. But we are not afraid of trying a case if that will bring our clients the best possible resolution.
COMMERCIAL TRANSACTIONS
Every business confronts commercial transactions, sometimes simple, sometimes complex. We have extensive experience in drafting and reviewing contracts and agreements, commercial leases, employment agreements such as covenants not to compete, joint venture agreements, bank documents and other financing agreements.
COMMERCIAL LOANS
Hopp Neumann Humke represents both lenders and borrowers in commercial loan transactions. We provide custom loan documentation, including loan agreements, promissory notes, and collateral documents. Our goal is to create and enhance relationships between our clients and their other business partners.
